Terms and Conditions
Please read this Agreement carefully. By enrolling as an "Advertiser", "Affiliate", "Reseller", or "Rewards Program Member" you agree to be bound by these
terms and conditions and the terms and conditions of any Signups campaign order that you complete, including
all payment terms (collectively, the "Agreement"). In this Agreement, "you", and "your" refers to the
Advertiser, Affiliate, Reseller and/or Rewards Program Member. You agree that any of your agents, representatives, employees, or any person or entity
acting on your behalf with respect to the use of e-Signups.com's services or website, shall be bound by, and shall abide
by, these Terms and Conditions. You further agree that you are bound by these Terms and
Conditions whether you are acting on your own behalf or on behalf of a third party, including another
Advertiser, Affiliate, Reseller and/or Rewards Program Member.
Legal venue.
You agree that Washington law, excluding conflict of laws principles, will govern this agreement, and that any claim or suit arising out of or related to this agreement must be brought exclusively in federal or state courts located in Pullman, Washington. You consent to the exclusive jurisdiction of such courts.
Signups:
A "Signup" (plural "Signups") is defined as an
occasion on which a person on the Internet fills out a form that is located on the on the website's URL ("Program") that is provided by You. You understand and agree that you will pay for all Signups that we deliver to your Program, up to the number of Signups you have purchased, and
that such charges will be based on the number of Signups,
multiplied by the cost of each Signup, which shall be computed according to
our rules applicable to the Program that you selected.
A "Campaign" is defined as the total number of Signups you have purchased for a specific Program.
Services:
e-Signups.com’s exclusive obligation is to deliver the purchased number of Signups at the URL provided by You. In all cases, orders and information must be
submitted in the form requested by e-Signups.com and in accordance with the specifications and policies setforth
by these Terms and the e-Signups.com website. e-Signups.com will not be required to deliver any
Signups campaign to any Program that is not in accordance with our policies or specifications. You are solely responsible
for the content of your Programs.
Guarantees.
You understand that e-Signups.com DOES NOT GUARANTEE ANY SALES or the performance of the Signups we deliver to you in any way. You understand that you WILL NOT receive a refund for Signups that you have received.
Charge-backs
In the event of any failure by you to make payment, or if you
charge-back, you will be responsible for all reasonable expenses (including attorneys' fees)
incurred by e-Signups.com in collecting such amounts plus interest at the rate of 10% per year or the
maximum amount permitted by law, whichever is greater.
Rates.
Pricing for our Programs, payment plan terms, set-up fees, minimum costs, and
minimum bids are subject to change by us from time-to-time.
Limitation of Liability and Disclaimer of Warranties.
In the event that we fail to deliver Signups in accordance with the terms of this Agreement (or in the event of any other failure,
technical or otherwise, of Signups to appear as provided in this Agreement), OUR SOLE
LIABILITY TO YOU SHALL BE LIMITED TO, IN OUR DISCRETION, EITHER (I) A REFUND OF THE
ADVERTISING FEE PAID BY YOU FOR THE SPECIFIC SIGNUPS THAT WERE NOT
DELIVERED ACCORDING TO THIS AGREEMENT. IN NO EVENT SHALL
WE BE RESPONSIBLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL OR
EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS (EVEN IF SUCH
DAMAGES ARE FORESEEABLE AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES). Without limiting the foregoing, we shall have no liability for any
failure or delay resulting from any governmental action, fire, flood, insurrection, earthquake, power
failure, Internet or communications failure, riot, explosion, condition beyond our control affecting production or delivery in any manner. Furthermore, we do not
represent or warrant that e-Signups.com and any of our Programs and/or payment plans will meet
your objectives or needs. YOU EXPRESSLY AGREE THAT YOUR USE OF OUR PRODUCTS AND/OR E-SIGNUPS.COM SITE IS AT YOUR OWN RISK.
Warranty
THE E-SIGNUPS.COM WEB SITE AND ALL SERVICES ARE AVAILABLE ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR
ACCURACY, OR IMPLIED WARRANTIES ARISING FROM COURSE OF PERFORMANCE OR
COURSE OF CONDUCT AND WE DISCLAIM ANY WARRANTY REGARDING THE AVAILABILITY,
ACCURACY OR CONTENT OF E-SIGNUPS.COM NETWORK, WEB SITE, AND/ OR
INFORMATION, PRODUCTS OR SERVICES AVAILABLE THROUGH THE E-SIGNUPS.COM WEB SITE , THE PREFORMANCE OF ANY SIGNUP,
OR ANY ECONOMIC BENEFIT YOU MAY GAIN FROM THE SIGNUPS.
SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. THIS LIMITED WARRANTY GIVES YOU SPECIFIC
LEGAL RIGHTS, YOU MAY HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO
STATE.

e-Signups.com reserves the right to approve, omit or reject any
Signups campaign for any reason at any time. e-Signups.com's failure to reject, cancel, approve, omit, etc. shall not be construed
as an acceptance of a Signups campaign nor would this negate other parts of this Agreement,
specifically with respect to liability.
Your Representations; Indemnification.
You represent and warrant that you have sufficient
authority to enter into this Agreement. Your advertisements are accepted upon the representation
and warranty that:
A. You have the right to purchase Signups for your particular Program, without
infringement of any rights of any third party, including but not limited to copyright, patent, trademark,
trade secret, confidentiality or other proprietary right.
B.Your Program complies with our standards.
C. The use, reproduction, distribution or transmission of materials and advertisements pertaining to your Program,
including without limitation any hyperlinks in the advertisement, does not and will not violate any laws
or any rights of any third parties, including but not limited to false or deceptive advertising or sales
practices, unfair competition, antitrust, defamation, discrimination, pornography, or invasion of
privacy.
D. Your Program complies with all applicable laws.
Tracking:
Counting and tracking of Signups campaigns shall be based on e-Signups.com’s internal
reporting and/or tracking procedures only.
Claims or Disputes:
Your sole remedy to claims or disputes is to submit any claims or
disputes you may have with respect to any purchase in writing to e-Signups.com within 60
days of such purchase otherwise such claim or dispute will be waived and such charge will be
final and not subject to challenge.
Affiliates
A. JOINING THE PROGRAM. By completing the affiliate signup form you will automatically become a e-Signups.com affiliate. Your participation in the "Affiliate Program" is solely for this purpose: to legally advertise the e-Signups.com site and products in order to receive a commission on sales generated by your referrals. You also agree to receive periodic mailings to Affiliates regarding the e-Signups.com Affiliate Program and special offers regarding e-Signups.com products.
B. REVOCATION OF AFFILIATE STATUS. Your affiliate application and status in the Program may be suspended or terminated for any reason including any of the following reasons: Inappropriate advertisements (False claims, misleading hyperlinks), Spamming (mass email, mass newsgroup posting, etc...), Advertising on sites containing/promoting illegal activities, Violation of intellectual property and copyrights.
C. PROMOTING E-SIGNUPS.COM. You may use graphical and text links on websites and in emails. e-Signups.com may also be advertised "offline" in classified ads, magazines, and newspapers. You may use the materials provided to You by e-Signups.com. You may not use any illegal means of promoting e-Signups.com or your affiliate URLS. You may not use SPAM to promote e-Signups.com or your affiliate URLS.
D. AFFILIATE COMMISSIONS. You will be paid referral fees for every e-Signups.com product that is purchased by your Referrals. A "Referral" is defined as a person who uses an internet browser that is capable of being tracked by our procedures to access the e-Signups.com site by clicking an affiliate URL that e-Signups.com provides all Affiliates with. This referral fee is subject to change from time to time without notice. If a purchase is reversed or money was reimbursed for a purchase for any reason, e-Signups.com reserves the right to cancel the corresponding commissions regardless of which affiliate made the Referral. Affiliates are responsible for all 3rd party transaction fees that our payment processors charge when commissions are paid.
E. AFFILIATE TRACKING. After signing up for the Program you will receive a unique affiliate url which you will use to advertise our site and products. When someone clicks through this url a cookie will be set in their browser with your affiliate ID and their IP address will also be logged with your affiliate ID. During that visit to our website or any later visit, when a purchase is made the commission will be given based on the existence of the cookie or a match of the IP address in the database.
F. TERMS OF THE AGREEMENT. These terms will begin upon your signup with the affiliate Program and will end when either you or e-Signups.com terminates your affiliate status. The terms of this agreement may be modified at any time by e-Signups.com. If any modification is unacceptable to you, your only choice is to terminate your affiliate status. Your continuing participation in the Program will constitute your acceptance of any change. Any commissions that meet these terms that you have earned prior to changes to the terms of this agreement will be honored by e-Signups.com if you terminate your affiliate status.
G. LIABILITY. e-Signups.com will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the Affiliate Program. We make no claim that the operation of the e-Signups.com site or services will be error-free and will not be liable for any interruptions or errors at any time.
Resellers
You agree that you are responsible to pay all applicable taxes, and to obtain all relevant licenses and permits associated with the legal operation of your enterprise. Participants will be granted Reseller status when they have paid the applicable fee's and met the terms of this agreement as well as the terms listed on the e-Signups.com site. Resellers will be granted access to a password protected URL where they can purchase Signups at the Reseller rate. The Reseller rate and all fees associated with the Reseller Program are subject to change from time to time.
Products and services provided by e-Signups.com are provided "AS IS" without warranty of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Rewards Program Members:
Rewards Program Members agree to place an advertisement on their home page for e-Signups.com that includes a link to the e-Signups.com site. Rewards Program Member status is granted to people who have applied to the program via the e-Signups.com site and have completed the requirements listed on the site including the reciprocal link. Rewards Program Members are given access to a password protected URL where Signups may be purchased at the Rewards Program Rate. The Rewards Program Rate is posted on the e-Signups.com site and is subject to change from time to time without any notice. Rewards Program Members may distribute the username, password and URL that e-Signups.com provides them ("Rewards Program Access Information") with only to their customers and/or members. Rewards Program Members may not post the Rewards Program Access Information anywhere that is viewable or accessible to anyone that is not specifically a customer or member of the Rewards Program Member. You may not provide post the Rewards Program Access Information on any public server or website, You may only provide your customers/members with the Rewards Program Access Information via email. e-Signups.com can terminate the account and/or access of any Rewards Program Member and their customers/members at any time for any reason whatsoever.
